The following sets forth the terms and conditions (Terms) for service provided by D2D TOOLS INC (DBA Knockwise). By accessing, browsing, or signing up for our services provided on the website www.knockwise.com, you acknowledge that you have read, understood, and agree to comply with our terms and conditions. Please carefully read all the parts of your agreement with D2D TOOLS INC.

 

D2D TOOLS INC may modify, alter or update these Terms at any time without prior notice, and your subsequent use of the service shall constitute your consent to the modification, alteration or update. By signing up for our service, the person or entity (Company) agree to the following Terms and has a moral and legal obligation to abide by these Terms. In this document, and all subsequent legal documents associated with it, any reference to D2D TOOLS INC will be made under the DBA Knockwise, which will be abbreviated as Knockwise from this point forward, and always refers back to the parent corporation D2D TOOLS INC.

 

1.     Knockwise Billing Conditions

 

a.      Knockwise Signup

Knockwise is a Prepaid Month to Month service: A service in which all applicable monthly service fees are paid in advance. All monthly service billing will occur on the day; Company completes signup process and agrees to terms and conditions by clicking “Sign Up”. Once clicking “Sign Up”, Company has established a Billing Date: The Date in which monthly service costs will be charged to your credit card. In order to provide continuous service, Knockwise will automatically charge your credit card on the Billing Date.

 

b.     Adding Services to existing Account

If the Company increases the number of agents or services provided, the additional service fee will be charged to Company credit card on day of purchase. Company will be charged a Pro-Rated Amount: Amount in which company will be charged for additional service provided from day of purchase to Billing Date. You must make such adjustments by logging into your account at www.knockwise.com and clicking on “Account” tab where you may make all purchases. All purchases will be confirmed with confirmation of receipt to the specified email address on file.

 

c.      Decreasing Services to existing Account

If the company decreases the number of agents or services provided prior to Billing Date, no refunds or credits will be provided. You must make such adjustments by logging into your account at www.knockwise.com and clicking on “Account” tab where you may decrease agents/services. All removal of agents/services will be confirmed via email to the specified email address on file.

 

d.     Cancellations. Very Important

 

  • i.     We do not accept cancellation by phone or email.

You MUST cancel your services by logging into your account at www.knockwise.com, clicking on the “Account” tab, then the Cancel button.

 

  • ii.     Cancellations will be confirmed with the Company by email from Knockwise.

 

  • iii.     Cancellation period takes effect on next billing cycle.

Once you click the “Cancel” button under the “Account” tab; cancellation will be scheduled to take effect on your next billing date at 12:00 a.m. Knockwise will not issue refunds for any remaining service the Company has paid for.

 

  • iv.     All Company data will be stored in a secure encryption format, from cancellation date. Knockwise as a service to our clients, will allow Company to restore services and data will not be deleted indefinitely, at anytime in the future for a recovery fee of $99.

 

  • v.     You must cancel your account by your billing date.

We do not issue refunds for customers who cancel on their billing date. It is the Company responsibility to keep track of their billing date and cancel to prevent future charges for use of our services.

 

e.      Nonpayment

If for any reason, Knockwise is unable to process the recurring payment on the Company Billing Date, Knockwise will provide notice to the Company by email. The account will be made inactive until full payment has been made. Payment must be made once logging into your account at www.knockwise.com. If the account is not paid within one month (30 days) of nonpayment, Knockwise will archive all customer data and a $99 recovery fee will have to be paid to reactivity it.

 

f.       Payment Method

All payment will be made by credit card. Our service is a Prepaid service for a minimum of one month of service.

 

g.     Fees Subject To Change

We reserve the right to change monthly fees from time to time. All existing terms of service will be honored at the contract price as long as the Company’s account is paid up to date and in good standing. If a Company cancels or is delinquent on payment, the Company will forfeit any previous pricing agreements.

 

h.     Return Policy Summary Details:

For Individual User Licensing: As a SAAS platform we provide you immediate access to property data, response based task CRM, and immediate performance reporting data. This information is yours to keep once you pay for it, and can be exported to a css or excel file for record keeping.

Since the nature of our product / service to the user (you) is digital, we cannot provide full refunds as the user will have already utilized the licensing rights to pull homeowner data and manipulate that data for their sales efforts. Similar to digital licensing for software or media entertainment, once the product is used it is yours during the period of usage.

We will honor refunds for any prepaid usage that has not yet commenced. The baseline to determine usage will simply be whether the billing cycle for that month has began or not. Once any billing cycle for the month begins, that month is no longer refundable. Any cycles that have been prepaid will be full refundable. E.G. if 12 months are prepaid, and the user wants to cancel 3 days after the 3 month has begun, we will refund the user for the remaining 9 months, but not for the first 3. The one-time setup is non-refundable on any package.

 

2.     Privacy Policy

Knockwise is committed to protecting your privacy and Customer Data: Electronically submitted data or information from Company to Knockwise. Knockwise does not share, distribute, or sell such Customer Data. Company that signs up for Knockwise is required to provide contact information. Such information contains name, email address, phone number, title office, real estate office name, BRE#, billing address, and credit card information. This information is what is used to sell and/or set up Company’s service. Knockwise may log your IP address information as a visitor or customer of www.knockwise.com. This information is used to verify technical problems and regulate what changes we can make to our site to improve quality and service.

 

a.      Security

The Knockwise Site has set security measures to assure and protect against the loss and misuse of your Data. The website is secured with (SSL) Secure Socket Layer, protecting information and Data. Knockwise also has identification security such as initial login pin, email address, and password to prevent unauthorized access to a Company’s personal account, automatic time-out after inactivity period to protect against desktop privacy.

 

b.     Your Data

Customer of the Knockwise Service will be using www.knockwise.com to host data and information. Knockwise will not share, distribute, or sell Company Data unless required by law. Customer Data may at times be viewed and/or accessed but only for the purposes in resolving a technical support issue.

 

c.     Homeowner & Property Data

Homeowner and property detail data that is downloaded on Knockwise products is licensed by your title office. This data is public record and belongs to neither you or the title office.

 

d.     MLS Data

MLS data is a combination of public data as well as historical MLS data per property. Knockwise gathers your BRE# as reference of your regional MLS affiliation and access.

 

e.     Cookies

When visiting www.knockwise.com, our web server sends a Cookie: A small piece of data sent from a website and stored in a user’s web browser while a user is browsing a website, to create a better user experience.

 

3.     Digital Marketing & In-Person Solicitation Regulations

The Company assumes all liability and responsibility for operating our Products according to any federal, state, or local laws pertaining to the use of door to door solicitations. The Company is aware that limitations may include commercial solicitations and/or delivering messages to homes and businesses without the prior express consent of the messaged party. A violation of any such laws may result in significant penalties and other sanctions. Any Company intending to use this product for solicitation purposes (direct marketing, telemarketing, etc.) should consult with their own counsel, prior to using these services, to determine the extent of permissible solicitation activities. Company agrees to use this product in accordance with all legal requirements. Knockwise will not be responsible for any illegal use of its services. Company will INDEMNIFY, DEFEND, AND HOLD Knockwise harmless from and against any liabilities, claims, complaints, cost (including attorney fees) and expenses arising out of the Company’s use of the system or software. In addition, Company is responsible for all insurance, tax, and license requirements. Company will hold Knockwise Harmless from any litigation or claims against Company for any reason whatsoever.

 

4.     Term

The terms of this agreement is month to month, or year to year, depending on the billing cycle   duration of the package Company has selected.

 

5.     Indemnification

The Company agrees to pay any damages or expenses incurred by Knockwise, including attorneys’ fees and expenses, resulting from claims brought by other parties regarding the use of Knockwise services or as a result of a breach of these Terms and Conditions. This provision shall survive the Term of this Agreement.

 

6.     Limitation of Liability

IN NO EVENT WILL Knockwise OR ITS AGENTS BE LIABLE FOR ANY DAMAGES CAUSED BY USE OF OUR SERVICES, TRANSMISSION, COMMUNICATIONS, OR COMPUTER SYSTEM FAILURE. IN NO EVENT WILL Knockwise OR ITS AGENTS BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR OTHER DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS, REVENUES, PROFIT OR DATA OR THE COST OF OTHER SERVICES.

 

7.     Miscellaneous

The Company and Knockwise are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. These terms and Conditions shall be governed and interpreted according to the laws of the State of California. If any provision of this Agreement shall be declared void or unenforceable by any judicial or administrative authority, the validity of any other provisions and of the entire Agreement shall not be affected thereby.

The Terms and Conditions of this Agreement may not be amended without the affirmative prior written consent of both parties. No waiver of any default in performance of this Agreement by either party, or waiver of any breach or a series of breaches of any of the terms, covenants or conditions of this Agreement shall constitute a waiver of any subsequent breach or a waiver of such terms, covenants or conditions. Headings herein are for conveniences of reference only and shall not be considered in any interpretation of this Agreement. These Terms and Conditions and the Free Trial Form describe the entire Agreement between Knockwise and the Company and supersede any other verbal or written agreements regarding the subject matter of this Agreement. This Agreement shall survive any change in the ownership of the Company.

 

8. Product Guarantee / Warranty:

We stand by the integrity of our homeowner data (imported rom Black Knight Financial Services), that we are then binding with your local MLS feed market activity (imported from the local MLS of the region the user is in, may not be available in all regions of the United States), as well as a proprietary CRM response task generation system based on what responses you assign to your properties. This automatically generates follow up tasks for you based on proven door knocking sales methodologies. Our system also tracks your every move while in the field, timing you and generating reports no performance in three varying formats.

We stand behind the fidelity of this data, and guarantee you a excellent customer service agreement along with your user licensing. e have spent effort to design a Support Center for you with a FAQ, Video Knowledge Base, and Support Ticketing system to help resolve any issues. Our billing is fully PCI compliant and we have taken steps to ensure privacy and security standards are maintained for all our systems. We guarantee you the best digital door knocking experience available from a product and service standpoint!
